These Terms of Service ("Terms") govern your access to and use of the Landing Platform services ("Service") provided by Pivotal Digital Ltd ("we", "us", or "Pivotal"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term solely for your internal business purposes. This right is personal to you and may not be sublicensed, assigned, or transferred.
You may access the Service via our web application, APIs, or any mobile applications we make available. API usage is subject to our published rate limits and acceptable use guidelines.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance during off-peak hours and will provide reasonable advance notice of planned downtime where practicable.

We claim no intellectual property rights over the content you upload to or create using the Service. Your data remains yours.
If you provide feedback or suggestions about the Service, you grant us a royalty-free, worldwide, perpetual licence to use and incorporate that feedback into our products and services.
The Service may integrate with or link to third-party services (such as payment processors, social media platforms, or AI providers). Your use of such services is governed by their respective terms. We are not responsible for the availability, accuracy, or practices of any third-party service.
7.1 All charges are due in full and payable in advance for each subscription period, unless otherwise agreed in writing.
7.2 We accept payment by credit or debit card (processed immediately) or by invoice (payable within 30 days).
7.3 Subscriptions automatically renew for equivalent periods at the then-current standard rates, unless you cancel before the renewal date.
7.4 All charges are non-refundable except where expressly stated or required by law. No refunds or credits will be issued for partial subscription periods.
7.5 If payment is not received within the applicable grace period, we reserve the right to charge interest at 2% per month on overdue amounts and to suspend your access to the Service.
7.6 You are responsible for all applicable taxes. Where we are legally required to collect taxes, these will be added to your invoice.
8.1 We may suspend your access to the Service if you breach these Terms, subject to providing you with written notice and a reasonable opportunity to cure (not less than 15 days), except in cases of material security violations where immediate suspension may be necessary.
8.2 You may terminate your subscription at any time through your account settings or by contacting us at support@landing.pivotal.digital.
8.3 Upon termination, we will retain your data for 30 days to allow you to export it. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
8.4 Any remaining subscription charges at the time of termination remain due and payable, unless we have materially breached these Terms.
We process your personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
We implement appropriate technical and organisational measures to protect your data. You agree to keep your authentication credentials confidential and to comply with any security guidelines we publish.
Each party agrees to treat the other party's confidential information with no less than reasonable care and to use it only as necessary to perform obligations or exercise rights under these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
13.1 We will indemnify you against any third-party claim that your permitted use of the Service infringes that party's intellectual property rights, provided you promptly notify us, give us sole control of the defence, and cooperate with our reasonable requests.
13.2 You will indemnify us against any third-party claim arising from your breach of these Terms, your content, or your use of the Service in violation of applicable law.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable order form, constitute the entire agreement between you and Pivotal Digital Ltd.
Amendments: We may update these Terms from time to time. We will provide at least 30 days' notice of material changes. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
Severability: If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
